Disclosures
1. Regulatory status
Issura Pte. Ltd. is a Singapore entity pursuing the Monetary Authority of Singapore regulatory sandbox track. Issura is not currently licensed or regulated by MAS and does not hold a capital markets services licence. References on this site to MAS, to the sandbox, or to regulatory frameworks describe the framework Issura is building towards; they are not a claim of licensed status, approval or endorsement.
Offerings made available through the platform are made in reliance on prospectus exemptions available for offers to accredited investors and other relevant persons under the Securities and Futures Act 2001. They are not accompanied by a prospectus registered with MAS. The statutory protections that attach to a registered prospectus, including the statutory liability regime for false or misleading statements, do not apply to these offerings.
No regulator has reviewed, approved or endorsed any offering, any token, this website or any material published on it.
2. No advice, no recommendation
Nothing published by Issura constitutes investment, legal, tax, accounting or financial advice, and nothing is a recommendation or solicitation to acquire, hold or dispose of any instrument. Issura does not assess whether any instrument is suitable or appropriate for you.
Issura does not manage assets, exercise investment discretion, or act as a fund manager, adviser or broker. You should obtain independent professional advice before making any investment decision.
3. Risk warning
Tokenised securities are high-risk instruments. You should be prepared to lose the entire amount you invest.
- Capital loss. The value of an instrument may fall, and an issuer may fail. Loss may be total.
- Illiquidity. There is no assurance that any secondary market will exist. You may be unable to sell before maturity, and may have to hold for the full term.
- Valuation. Valuations for private assets may be unavailable, infrequent, or based on estimates that later prove wrong.
- Concentration. Individual offerings are exposed to single assets, single obligors and single jurisdictions.
- No compensation scheme. No deposit insurance, investor compensation scheme or fidelity fund applies to these instruments.
4. Illustrative figures and projections
Yield ranges, estimated APY figures, sample offerings and portfolio screenshots shown on this site are illustrative. They depict how the platform presents information; they are not live offerings and are not available for subscription.
Where a figure is attributed to an offering, it is supplied by the issuer of that offering. Issura does not verify, endorse, adopt or guarantee any yield, return or projection. Estimated returns are not promises. Actual returns depend on the terms of the individual instrument and on the performance of the underlying asset, and may be zero.
Past performance of comparable assets does not indicate future results.
5. Forward-looking statements
Statements about Issura's plans, roadmap, projected volumes, target market share, expected timing of mainnet deployment, licensing or regulatory milestones are forward-looking. They reflect present expectations and are subject to risks and uncertainties, many outside Issura's control. Actual outcomes may differ materially. Issura does not undertake to update forward-looking statements.
6. Jurisdictional restrictions
This site is not directed at any person in any jurisdiction where publication or availability would be contrary to local law. Nothing on it constitutes an offer or solicitation in any jurisdiction where such an offer would be unlawful, or to any person to whom it would be unlawful to make it.
Individual offerings are restricted to specified jurisdictions and to persons who have completed verification and qualify as accredited investors or other relevant persons. It is your responsibility to satisfy yourself that you may lawfully access and subscribe.
7. Technology and smart contract risk
The platform operates on public blockchain infrastructure. Additional risks apply:
- Smart contract defect. Contracts may contain errors. Audit and testing reduce this risk but do not eliminate it.
- Irreversibility. Blockchain transactions cannot be reversed. Funds sent in error, or to an incorrect address, cannot be recovered by Issura.
- Key loss. The platform is non-custodial. You control your own wallet and private keys. If you lose access to them, Issura cannot restore access to your tokens.
- Network risk. Congestion, outage, reorganisation or a change to the underlying protocol may delay or prevent transactions.
- Transfer controls. Tokens are permissioned. Transfers to addresses that are not whitelisted will fail at the contract level. Holdings may be frozen or transferred where required by law, by sanctions obligations, or where identity or accreditation is revoked. See the Terms of Service.
8. PULSE Index and PULSE Readiness
PULSE Index ratings are opinions about relative characteristics of tokenised assets, formed by applying a published methodology. They are not investment advice, not recommendations to buy, hold or sell, and not statements of fact. They do not address suitability for any particular investor, and they do not speak to market price, liquidity or the likelihood of loss.
Ratings are based on information believed reliable at the time of publication, including third-party sources. Issura does not audit that information and does not guarantee its accuracy or completeness. Ratings may be changed, suspended or withdrawn at any time.
Conflicts. Issura publishes ratings while also operating a tokenisation platform. An asset that is rated may be issued by, competitive with, or otherwise connected to a participant on that platform. The methodology is published openly and rated issuers have a right of response, but you should be aware of this position when relying on a rating.
The PULSE Readiness Assessment is a self-service diagnostic for issuers. Its output is a preliminary indication only, is not a rating, and does not indicate that any offering will be accepted onto the platform or will be successful.
9. ISS token
ISS is a utility token used for fee discounts and priority access to platform services. It is not offered as an investment, is not designed to appreciate, and confers no ownership, equity, profit share, dividend or voting right in Issura Pte. Ltd.
The regulatory characterisation of ISS in any jurisdiction is not settled and remains subject to independent legal opinion. Nothing on this site should be read as a statement that ISS has been determined not to be a capital markets product or a regulated instrument.
10. Third-party information
This site references third-party data, market estimates and information published by others. Issura does not verify or endorse that material and is not responsible for it. Links to external sites are provided for convenience and do not imply endorsement.
